Assistant Vice President, Corporate and Regulatory

General purpose of position

Paralegal duties and general corporate/regulatory support of Legal, Corporate and Regulatory Departments.  The position requires interfacing with multiple departments within Assured Guaranty.  It also involves external contact with regulators, attorneys and other advisors. 

Primary duties/responsibilities

1. Make various corporate and regulatory filings related to the licensing and corporate registrations of Assured Guaranty’s US insurance companies and related companies, including in some cases 50 state filings

2. Assist with drafting and obtaining necessary corporate and regulatory approvals for amendments to the articles of incorporation and/or bylaws of Assured Guaranty’s US companies

3. Assist with Assured Guaranty operating company board meeting preparations and minutes

4. Assist with maintenance of Assured Guaranty U.S. company minute and corporate records books

5. Prepare basic corporate documents such as written consents, secretary certificates and incumbency certificates

6. Prepare and submit state insurance rate and form filings for Assured Guaranty’s US insurance companies

7. Maintain current inventory of approved rates and forms for Assured Guaranty’s US insurance companies

8. Maintain engagements with countersignature and service of process agents

9. Assist with formation and dissolution of companies, including the necessary corporate approvals and filings with applicable regulatory agencies

10. Assist with regulatory filings relating to intercompany transactions and other insurance holding company requirements

Specific skills, competencies, resources and/or software/technology used on the job

1. General knowledge of insurance regulatory requirements

2. Knowledge of corporate governance requirements

3. Experience working at large law firm in its corporate/regulatory department or a legal department within a financial services firm

4. Must have willingness and ability to learn about the substantive aspects of the job – interest in finding out what’s going on – and the assertiveness and organizational ability to follow up on pending items

5. Strong administrative skills, including the ability to independently organize, prioritize and manage multiple tasks 

6. Ability to work under pressure and tight deadlines with minimal supervision

7. Strong attention to detail

8. Excellent interpersonal skills, including the ability to effectively interface with different departments throughout Assured Guaranty

9. Excellent written communication skills

10. Willingness to be flexible about work hours if necessary to accommodate workflow

11. Strong computer skills including Word, Acrobat, Excel

12. Experience with software/technology used by insurance departments for electronic filings a plus

Education, certifications and/or experience requirements

BA/BS preferred
Paralegal certification/training
