Optional redemption: This Note is redeemable as a whole at any time or in part from time to time, prior to March 15, 2031 (the “Par Call Date”), at the Company’s option, at a redemption price equal to the greater of (i) 100% of the principal amount of this Note to be redeemed; and (ii) the sum of the present values of the remaining scheduled payments of principal and interest on the Note being redeemed (excluding interest accrued to the redemption date) that would be due if this Note matured on the Par Call Date and discounted to the redemption date on a semi-annual basis (assuming a 360-day year consisting of twelve 30-day months) at the applicable treasury rate plus 25 basis points; plus, in each case, accrued and unpaid interest on the principal amount being redeemed to, but excluding, the redemption date.
This Note is redeemable as a whole at any time or from time to time in part on and after the Par Call Date, at the Company’s option, at a redemption price equal to 100% of the principal amount of this Note to be redeemed, plus accrued and unpaid interest on the principal amount being redeemed to, but excluding, the redemption date.
